These Terms of Service govern access to and use of the codegea.com website and the professional services provided by Codegea, based in Ecuador (hereinafter, "Codegea", "we" or "the provider"). By browsing this site, submitting the contact form, subscribing to the newsletter or hiring any of our services, you accept the conditions described below. If you do not agree with them, we ask that you do not use the site or hire the services.
Last updated: June 26, 2026. This document may be updated; the current version is always the one published on this page.
1. Who provides the services
Codegea offers custom software development, corporate websites, landing pages, online stores with WooCommerce and Ecuadorian payment gateways, headless CMS (Directus, Strapi, WordPress headless), artificial intelligence integrations and server and application maintenance. You can see the details in the services section.
2. Use of the website
The content of this site (texts, blog articles, case studies, design and code) is published for informational and outreach purposes. You agree to use the site lawfully and not to carry out actions that may damage, overload or disable the website, nor attempt to access restricted areas or third-party data. Codegea may modify, suspend or remove any content or service from the site at any time, without giving rise to any right to compensation.
3. Contact form
The site has a contact form so you can request information or quotes. By submitting it, you give us data such as your name, email address and the message with your inquiry. That information is used only to reply to you and follow up on your commercial request, and is processed in accordance with our Privacy Policy.
- You are responsible for the accuracy of the data you submit through the form.
- Submitting an inquiry does not, in itself, create a contractual relationship or oblige Codegea to provide any service.
- Do not use the form to send unlawful content, unsolicited advertising (spam) or material that infringes third-party rights.
4. Newsletter
If you subscribe to the newsletter, you authorize Codegea to send you by email content, news, blog articles and, occasionally, communications about our services. Subscription is voluntary and free.
- You can unsubscribe at any time using the cancellation link included in every email, or by writing to us to request it.
- We process your email address in accordance with our Privacy Policy and do not hand it to third parties for commercial purposes unrelated to Codegea.
- The newsletter subscription is independent of any contracted service: unsubscribing does not affect the projects or plans you have underway with us.
5. Hiring services
Hiring any service is formalized through a proposal, quote or specific agreement accepted by both parties. That specific agreement details the scope, deliverables, timelines and price, and prevails over these Terms with regard to the particular conditions of the project. Unless otherwise agreed:
- Quotes are indicative until accepted in writing and may be subject to a validity period.
- Starting the work may require payment of an advance. The rest is billed according to the agreed milestones or schedule.
- Any work outside the agreed scope is quoted and approved separately before being carried out.
- Issuing of receipts and tax treatment follow the regulations in force in Ecuador (SRI).
6. Retainer plans (recurring services)
In addition to one-off projects, Codegea offers retainer plans: packages of ongoing services (maintenance, support, evolutionary development, server management or consulting) billed on a recurring basis. The price boxes published on the site summarize the available plans and are a commercial reference; the final conditions of each plan are confirmed in the service agreement. As a general criterion:
- Recurring billing: plans are billed by period (usually monthly) and paid in advance at the start of each period.
- Plan scope: each plan includes a defined set of hours or services. Work that exceeds that scope is agreed and quoted separately.
- Hours do not roll over: unless otherwise stated, hours or services not used within a period do not automatically carry over to the next one.
- Renewal and cancellation: plans renew automatically each period. Either party may cancel the renewal by giving the notice agreed; cancellation takes effect at the end of the period already billed.
- Overdue payments: failure to pay a period may result in the temporary suspension of the services included in the plan until it is settled.
The amounts, periodicity and specific cancellation conditions of each retainer are those stated in the proposal accepted by the client.
7. Timelines and client collaboration
Estimated timelines depend on the client providing in time the information, access, content and approvals needed. Delays in delivering these materials or in responses may affect the schedule without this being Codegea's responsibility.
8. Intellectual property
The own content of this site (texts, articles, design and materials) belongs to Codegea and may not be reproduced without authorization. As for work developed for clients, ownership of the deliverables transfers to the client once the agreed price has been paid in full, unless the specific agreement states otherwise. Third-party tools, libraries and components, which are governed by their own licenses, as well as Codegea's own knowledge, methods and reusable components, are excluded.
9. Limitation of liability
Codegea provides its services with professional diligence, but does not guarantee that the website is free of errors or interruptions, nor is it responsible for damages arising from the use of the informational content published. Within the framework of the contracted services, Codegea's liability is limited, to the extent permitted by law, to the amount actually paid for the service that gave rise to the claim. Codegea is not liable for failures attributable to third-party services (hosting providers, payment gateways, external APIs) or for improper use made by the client or third parties of the developments delivered.
10. Data protection
The processing of the personal data you give us through the contact form, the newsletter or the hiring of services is governed by our Privacy Policy. The use of cookies on the site is detailed in the Cookie Policy.
11. Changes to these terms
Codegea may update these Terms of Service to adapt them to changes in the services or in the applicable regulations. The current version will always be the one published on this page, with its last-updated date. Continued use of the site or the services after a modification implies acceptance of the updated terms.
12. Governing law
These Terms are governed by the laws of the Republic of Ecuador. For any dispute arising from their interpretation or application, the parties will seek a good-faith solution and, failing that, will submit to the courts that correspond under Ecuadorian law.
